Acceptable Use Policy

This Acceptable Use Policy ("AUP") sets out the rules governing use of the Vertiso Memory Service and may be amended from time to time in accordance with the Terms of Service. Users will be notified of material updates as provided therein.

This Acceptable Use Policy ("AUP") governs your use of the Vertiso Memory AI memory service (the "Service") operated by Vertiso Corporation ("Vertiso"). This AUP is incorporated by reference into the Vertiso Memory Terms of Service ("Terms") and has the same legal force as the Terms. Capitalized terms not defined here have the meanings given in the Terms.

The purpose of this AUP is to protect the integrity, availability, and trustworthiness of the Service; to protect users, third parties, and society from harm; and to ensure that Vertiso Memory is used in a manner consistent with applicable law and broadly accepted ethical standards.

By using the Service, you agree to comply with this AUP. If you do not agree, you must not use the Service.

1. Core Principle

You may use the Service only for lawful, ethical, and constructive purposes. The Service is an AI memory and context platform; it is not a tool for harm, deception, exploitation, or any activity that degrades the wellbeing of individuals, communities, or society.

This AUP is not exhaustive. Vertiso reserves the right to determine, in its reasonable discretion, whether a particular use violates the spirit of this Policy even if it is not explicitly listed below.

2. Prohibited Uses

2.1 Illegal Activity

You may not use the Service to store, process, transmit, or facilitate any activity that violates applicable law, including but not limited to:

  • Fraud, identity theft, financial crimes, or money laundering;
  • Human trafficking, forced labor, or exploitation of vulnerable persons;
  • Drug trafficking or the illegal sale of controlled substances;
  • Unauthorized access to computer systems, networks, or data;
  • Violations of export control, sanctions, or trade restriction laws; and
  • Any other activity prohibited by applicable local, state, national, or international law.

2.2 Harm to Individuals

You may not use the Service in any manner designed or reasonably likely to cause harm to any individual, including:

  • Harassment, stalking, threats, intimidation, or abuse of any person;
  • Unauthorized collection, storage, or use of another person's personal information;
  • Impersonation of any person or entity for deceptive or harmful purposes;
  • Non-consensual intimate imagery or any content that violates a person's privacy or dignity; and
  • Exploitation of minors in any form.

2.3 Harmful Content

You may not use the Service to store or distribute content that:

  • Promotes, incites, or glorifies violence, terrorism, or mass harm;
  • Constitutes hate speech targeting individuals or groups based on protected characteristics including race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, disability, or similar attributes;
  • Is deliberately designed to spread disinformation, manipulate public discourse, or undermine democratic processes through inauthentic means; or
  • Depicts or facilitates the sexual exploitation of minors.

2.4 Harmful AI and Automated Uses

Given that Vertiso Memory is an AI memory platform, the following AI-specific prohibitions apply:

  • You may not use Memory Data stored in the Service to train, fine-tune, or evaluate AI or machine learning models in any manner that is unauthorized by the user whose data is being used, conducted by or for a third party without that user's explicit consent, or intended to circumvent Vertiso's API terms or these Terms of Service;
  • You may not use the Service to build or operate AI systems designed to cause harm, engage in deception, or violate applicable law;
  • You may not use the Service to conduct unauthorized surveillance, profiling, or monitoring of individuals; and
  • You may not use the Service to generate or amplify coordinated inauthentic behavior, including fake personas, astroturfing campaigns, or automated influence operations.

2.5 Service Integrity

You may not take actions that threaten the availability, reliability, or security of the Service, including:

  • Probing, scanning, or testing the vulnerability of Vertiso systems without prior written authorization;
  • Introducing malware, ransomware, or other malicious code;
  • Attempting to circumvent authentication, access controls, or rate limiting;
  • Using the Service in a manner that imposes unreasonable load on Vertiso infrastructure; and
  • Interfering with other users' access to or enjoyment of the Service.

2.6 Child Sexual Abuse Material and Child Exploitation

The sexual exploitation of minors is among the most serious harms this Policy addresses and is subject to zero tolerance. You may not use the Service to store, transmit, distribute, view, or facilitate in any way:

  • Child sexual abuse material (CSAM) of any kind;
  • Content that sexualizes, exploits, grooms, or endangers minors; or
  • Any communication, plan, or material intended to facilitate the abuse, trafficking, or exploitation of a child.

Vertiso will report any known or suspected CSAM or child exploitation activity to the National Center for Missing and Exploited Children (NCMEC) and to applicable law enforcement authorities, as required by 18 U.S.C. § 2258A and any other applicable law. Vertiso will cooperate fully with law enforcement investigations relating to child exploitation without prior notice to the Account holder.

2.7 Sanctions, Export Controls, and Prohibited Jurisdictions

You may not use the Service in violation of applicable U.S. or international trade controls, including:

  • Sanctions programs administered by the U.S. Office of Foreign Assets Control (OFAC) or equivalent authorities;
  • U.S. Export Administration Regulations (EAR) or International Traffic in Arms Regulations (ITAR);
  • Any prohibition on providing services to sanctioned individuals, entities, or jurisdictions; or
  • Any applicable import or export restriction under the laws of your jurisdiction.

By using the Service, you represent and warrant that you are not located in, organized under the laws of, or a national or resident of any jurisdiction subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government denied-party list.

2.8 Credential, Secret, and Stolen Data Abuse

You may not use the Service to store, distribute, trade, or otherwise handle:

  • Stolen credentials, passwords, authentication tokens, API keys, or account access information belonging to third parties;
  • Personally identifiable information obtained without authorization or through illegal means;
  • Payment card data, banking credentials, or financial account information belonging to third parties;
  • Private cryptographic keys, certificates, or secrets not owned or legitimately controlled by you; or
  • Any data obtained through unauthorized access to computer systems, networks, or accounts.

This prohibition applies regardless of whether you intend to use such data directly or merely store it for a third party. Vertiso will cooperate with law enforcement and affected parties in investigating suspected credential abuse or data theft.

2.9 Scraping, Abuse Automation, and Unauthorized Data Collection

You may not use the Service, or use the Service in conjunction with automated tools, to:

  • Scrape, harvest, or systematically extract Content or Memory Data belonging to other users without their explicit consent;
  • Operate bots, scripts, or automated processes that interact with the Service in a manner not expressly permitted by Vertiso's API documentation;
  • Conduct credential stuffing, brute force attacks, or other automated attempts to gain unauthorized access to accounts;
  • Generate, distribute, or amplify spam, unsolicited communications, or coordinated inauthentic content at scale; or
  • Circumvent or attempt to circumvent rate limits, usage caps, access controls, or other technical measures Vertiso uses to manage Service integrity.

3. Responsible Use Guidelines

In addition to the prohibitions above, Vertiso encourages all users to adopt the following practices:

  • Store only data you have the right to store, and respect the privacy and intellectual property rights of others;
  • Use API access responsibly and within published rate limits;
  • Notify Vertiso promptly at abuse@vertiso.ai if you discover a security vulnerability or observe a potential violation of this AUP; and
  • Consider the downstream effects of AI-assisted workflows that rely on Memory Data and take responsibility for outputs generated using your stored context.

4. Enforcement

Vertiso reserves the right to investigate suspected violations of this AUP and to take any action it deems appropriate, including:

  • Issuing a warning;
  • Temporarily suspending access to the Service;
  • Permanently terminating your Account;
  • Removing or disabling access to Content that violates this AUP; and
  • Reporting activity to law enforcement or other authorities where required by law or where Vertiso reasonably believes reporting is in the public interest.

Vertiso's failure to enforce any provision of this AUP in any instance shall not constitute a waiver of Vertiso's right to enforce it in other instances. Enforcement decisions are made in Vertiso's reasonable discretion and are not subject to appeal except as provided in the Terms of Service.

If you become aware of any use of the Service that appears to violate this AUP, please report it to:

Please include as much detail as possible, including the nature of the violation, relevant Account identifiers (if known), and any supporting evidence. Vertiso will investigate all reports in good faith and keep the identity of reporters confidential where possible.

6. Amendments

Vertiso reserves the right to amend this AUP from time to time as the Service evolves and as new use cases, risks, or legal requirements emerge. Amendments will be published on this page and users will be notified in accordance with the Terms of Service. Continued use of the Service following notice of an amendment constitutes acceptance of the revised AUP.
